1. Definitions
In these Terms and Conditions:
- "Service" refers to the AI cybersecurity services provided by Shieldnet, including threat assessments, security monitoring, and model reviews.
- "User", "you", or "your" refers to the individual or organization accessing our website or engaging our services.
- "We", "us", or "our" refers to Shieldnet.
- "Content" refers to information, text, images, or other materials available through our website or services.
- "Agreement" refers to these Terms and Conditions together with any service-specific agreements.
2. Acceptance of Terms
By accessing our website or engaging our services, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, you should not use our website or services. These terms constitute a legally binding agreement between you and Shieldnet.
You must be at least eighteen years of age to use our services. By agreeing to these terms, you represent that you have the legal capacity to enter into this agreement and, if representing an organization, that you have authority to bind that organization to these terms.
3. Service Description
Shieldnet provides specialized AI cybersecurity services including threat landscape assessments, AI-powered security monitoring implementation, and AI model security reviews. Our services are designed to identify vulnerabilities in AI systems and provide recommendations for security improvements.
Service availability may vary based on capacity and technical requirements. We reserve the right to refuse service to any party at our discretion. Specific service details, deliverables, and timelines will be outlined in individual engagement agreements.
4. User Responsibilities
When engaging our services, you agree to:
- Provide accurate and complete information necessary for service delivery
- Grant appropriate access to systems and data required for assessments
- Maintain confidentiality of any credentials or access we provide
- Use our services only for lawful purposes
- Not interfere with or disrupt our services or infrastructure
- Comply with all applicable laws and regulations
5. Intellectual Property
All content on our website and in our service deliverables, including text, graphics, logos, methodologies, and software, is the property of Shieldnet or our licensors and is protected by Malaysian and international intellectual property laws.
We grant you a limited, non-exclusive, non-transferable license to access and use our services for your internal business purposes. You may not reproduce, distribute, modify, or create derivative works from our content without written permission.
Assessment reports and recommendations provided as part of our services are licensed to you for internal use only. You may not share these deliverables with third parties without our prior written consent, except as necessary for implementing our recommendations within your organization.
6. Payment Terms
Service fees are specified in individual engagement agreements. Payment is typically required within thirty days of invoice date unless otherwise agreed. All fees are quoted in Malaysian Ringgit (RM) and exclude applicable taxes.
Late payments may be subject to interest charges at the rate of 1.5% per month or the maximum rate permitted by Malaysian law, whichever is lower. We reserve the right to suspend services for accounts with outstanding balances exceeding thirty days.
Refunds are provided at our discretion and only in cases where services have not been substantially delivered. Requests for refunds must be made in writing within fourteen days of service commencement.
7. Confidentiality
We maintain strict confidentiality regarding all client information, technical findings, and business data accessed during service delivery. Non-disclosure agreements are established prior to commencing assessment work.
You agree to maintain confidentiality regarding our methodologies, proprietary techniques, and any confidential information we share during the engagement. This obligation survives termination of our service agreement.
Either party may disclose confidential information when required by law, court order, or governmental regulation, provided that reasonable notice is given to the other party when legally permissible.
8. Disclaimers
Our services are provided on an "as is" basis. While we employ industry-standard methodologies and exercise professional judgment, we make no warranties regarding the completeness or accuracy of our assessments.
We do not guarantee that our services will identify all vulnerabilities or prevent all security incidents. AI security is an evolving field, and new attack vectors may emerge after our assessments are completed.
Our recommendations are advisory in nature. Implementation decisions and their consequences remain your responsibility. We are not liable for outcomes resulting from implementation or non-implementation of our recommendations.
9. Limitation of Liability
To the maximum extent permitted by Malaysian law, Shieldnet's total liability for any claims arising from our services shall not exceed the fees paid by you for the specific engagement giving rise to the claim.
We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, even if we have been advised of the possibility of such damages.
These limitations apply regardless of the legal theory on which claims are based, whether in contract, tort, negligence, or otherwise. Some jurisdictions do not allow certain liability limitations, so these limitations may not apply to you.
10. Indemnification
You agree to indemnify and hold harmless Shieldnet, its officers, employees, and contractors from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of our services, violation of these terms, or infringement of any third-party rights.
11. Termination
Either party may terminate an engagement agreement with written notice as specified in the individual service agreement. Upon termination, you must pay for all services rendered up to the termination date.
We reserve the right to immediately terminate services if you breach these terms, fail to make required payments, or engage in conduct that we reasonably believe may harm our reputation or business interests.
Provisions regarding confidentiality, intellectual property, limitation of liability, and governing law survive termination of the service agreement.
12. Governing Law and Dispute Resolution
These Terms and Conditions are governed by the laws of Malaysia. Any disputes arising from or relating to these terms or our services shall be subject to the exclusive jurisdiction of the courts of Malaysia.
Before initiating formal legal proceedings, parties agree to attempt resolution through good faith negotiations. If negotiations fail, either party may pursue mediation or arbitration as mutually agreed.
13. General Provisions
Entire Agreement: These Terms and Conditions, together with any service-specific agreements, constitute the entire agreement between you and Shieldnet regarding our services.
Severability: If any provision of these terms is found unenforceable, the remaining provisions continue in full force and effect.
Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
Assignment: You may not assign or transfer your rights under these terms without our written consent. We may assign our rights and obligations without restriction.
Notice: All notices must be in writing and sent to the addresses specified in service agreements or to [email protected].
14. Changes to Terms
We reserve the right to modify these Terms and Conditions at any time. Changes will be posted on our website with an updated "Last Updated" date. Material changes will be communicated to active clients via email.
Your continued use of our services after changes become effective constitutes acceptance of the revised terms. If you do not agree to modified terms, you should discontinue use of our services.
